On their behalf we are seeking to recruit a Corporate Lawyer. A multi-faceted role; providing legal counsel and support for client matters involving trusts, corporate structures and mutual funds. Administration of trusts and corporate mandates, drafting and reviewing of trust documents and commercial agreements, and drafting and issuing legal opinions.

Required Skills & Experience

Qualified lawyer registered with the Cyprus Bar Association;

Minimum 3 years’ experience in Corporate Law with a strong legal background or as a trust or corporate officer in a reputable trust company

Excellent knowledge of Cyprus Companies Law and overall knowledge of the legal

system regulating or relating to Cyprus companies, the provision of administrative services and

Anti-Money Laundering legislation.

Good knowledge of Cyprus tax system and laws;

Have excellent computer skills (i.e. Microsoft Word, Excel, Powerpoint);

Be fluent in Greek and English, . Any other language a plus

Be able to work on their own and take initiative;

Job Description

Administration of trust and corporate mandates

Drafting of trust deeds and advising on the establishment of trusts;

Drafting of declarations of trust and related trust documents

Drafting and reviewing of contracts, promissory notes, resolutions etc

Drafting and reviewing M&As and effecting amendments in M&As;

incorporating companies, completion and filing of company forms,

Reviewing and drafting of directors and shareholders minutes and resolutions, Powers of

Attorney, commercial agreements and legal documents;

Provision of nominee services;

Undertaking and overseeing the formation, administration and dissolution of companies in

Cyprus and offshore jurisdictions;

Advising clients on matters relating to commercial agreements, mergers and acquisitions, joint ventures, corporate restructuring;

Performing legal research and preparing relevant reports;

Providing legal opinions;

Review and drafting of a broad array of legal documents for companies, funds and trusts

Handling client due diligence for corporate and trust structures

Manage relationships, and consulting with and coordinating advice from other third party professionals

Support in the development and implementation of the firm’s compliance regime

Have direct communication with clients and attend meetings;

Preparing memo to update clients

Undertaking any other duty related to the above or within the area of corporate/ commercial law.
